and operated by the Diocese from its offices in Grand Rapids,
Michigan. This Agreement and all terms herein shall be governed
by and construed in accordance with the laws of the State
of Michigan without giving effect to conflicts of law principles.

to the subject matter herein and shall not be modified except
by a writing, signed by both parties.
